DUTIES

 

1. The duties of the PATRONS of the Foundation shall include the following:

a. vouch for the Principles of the Foundation, its policy of confidentiality and to its equal opportunities policy; and

b. oversee the observation of the terms of this deed, the functions of the Foundation, the activities taken up by the Foundation and the Foundation’s financial rectitude; and

c. act as mentors to the Foundation.

2. The duties of the TRUSTEES of the Foundation shall include the following:

a. vouch for the Principles of the Foundation, its policy of confidentiality and to its equal opportunities policy; and

b. oversee the observation of the terms of this deed, the functions of the Foundation, the activities taken up by the Foundation and the Foundation’s financial rectitude; and

c. act as mentor to the Foundation.

d. be present and participate actively at all meetings of the Trustees;

e. respect all other members and officials of the Foundation while refraining from doing or saying anything to the detriment or impairment of any other member;

f. always act in a way that inspires trust and confidence in the Foundation and its mission;

g. act in conformity with national policy on the management of information;

h. diligently attend to the duties assigned by the Executive Committee;

i. refrain from encroaching on the duties assigned to other Trustees; and

j. see to the maintenance and upkeep of the Foundation’s centre of operation.

4. The duties of the GENERAL DIRECTOR shall include the following:

a. vouch for the observation of the terms of this deed;

b. overview any activity taken up by the Foundation;

c. represent the Foundation in any of its legal interests;

d. preside over meetings of the Trustees and the Foundation’s Executive Committee, and endeavour for their consensus in all decisions;

e. prepare, together with the other Trustees, an Annual Report for each calendar year and see to the publication of the yearly audited accounts by the Executive Committee; and

f. consider any alteration needed to be done to the terms of this deed.

5. The duties of the GENERAL SECRETARY shall be the following:

a. act as secretary during the meeting of the Trustees and the Executive Committee;

b. assist the General Director of the Foundation in the discharge of his duties;

c. execute, under the direction of the General Director, decisions taken by the Executive Committee; and

d. keep a complete record of the Foundation’s affairs.

6. The duties of ANY MEMBER OF THE EXECUTIVE COMMITTEE shall include the following:

a. respect all other members and officials of the Foundation while refraining from doing or saying anything to the detriment or impairment of any other member;

b. always act in a way that inspires trust and confidence in the Foundation and its mission;

c. act in conformity with national policy on the management of information;

d. regularly attend the meetings of the Executive Committee;

e. actively participate in the business undertaken by the Executive Committee;

f. diligently attend to the duties assigned by the Executive Committee; and

g. refrain from encroaching on the duties assigned to any other member of the Foundation.
